Summary The Construction Contract Attorney has primary responsibility for drafting and negotiating construction contracts for a large semiconductor project and provides related legal guidance and support across all UIS functions. Primary focus is on subcontractor and vendor relationships, procurement, and contract management in context of a large fast-paced industrial project. The position serves as a business-oriented legal expert to the General Counsel and works closely with Procurement, Project Management, Construction, Finance, and Safety business leaders. Essential Duties and Responsibilities include the following. Other duties may be assigned. Draft, review, revise, and negotiate master service agreements, professional service agreements, vendor agreements, consulting agreements, NDAs, amendments, change orders, and other commercial documents. Develop and maintain contract templates, standard terms, clauses, and legal playbooks aligned with UIS's risk tolerance and business requirements, working with the General Counsel and business teams to improve contracting processes. Develop and execute UIS initiative to increase productive use of AI in contract functions. Serve as a company subject matter resource on subcontractor contractual relationships, scope adjustments, contract time impacts, price structures, and pending modifications in coordination with project and procurement teams. Assist project management and procurement teams in understanding contractual rights, obligations, notice requirements, remedies, and interpretation issues (schedule, changes, delays, claims, payment disputes, warranties, scope changes, performance issues). Consult on open contract management and performance issues, evaluate contemporaneous documentation to support contractual positions and disputes, and proactively address troubled subcontractors to minimize dispute escalation. Review and/or prepare subcontractor communications and notices regarding deficient or faulty performance, responses to subcontractor change orders and claims, and reservation of rights. Review and advise on updates to Safety, Quality Control and other UIS manuals for legal impacts. Consult internally as subject matter expert on legal issues including indemnification, insurance, safety, limitation of liability, warranties, payment terms, termination rights, dispute resolution, confidentiality, intellectual property, compliance, and other key contractual provisions. Assist with insurance and indemnification requirements in coordination with appropriate internal stakeholders. Identify legal, contractual, financial, and commercial risks, exposures, and inconsistencies, and provide practical recommendations; elevate significant matters to the General Counsel in a timely manner. Partner with Procurement to recommend and maintain appropriate contractual terms to achieve commercial objectives for subcontractors, design professionals, service providers, equipment and other suppliers, and assist in resolving related contractual issues. Lead efficient processes for contracting procedures, issue resolution, executive approvals, and document retention. Ensure executed agreements, amendments, notices, and related records are properly documented and accessible. Develop reference materials and/or tools to improve visibility into contractual requirements. Develop training and presentations on contract management principles for UIS teams. Assist the General Counsel with commercial transactions, dispute resolution, employment, and other legal matters as appropriate, coordinating with outside counsel when specialized expertise is required. Conduct legal research and prepare legal memoranda, analyses, correspondence, reports, and presentations as requested. Maintain confidentiality of attorney-client privileged, sensitive legal, and business information. Qualifications The requirements listed below are representative of the knowledge, skill, and/or ability required. Strong knowledge of commercial contract principles, construction contracting, and risk allocation. Demonstrated ability to draft, review, interpret, and negotiate complex commercial and construction agreements. Ability to identify performance, schedule, scope, pricing, quality, and contract-administration issues and translate them into practical legal and business recommendations with compelling justifications. Strong analytical, problem-solving, negotiation, and conflict-resolution skills. High level of attention to detail and ability to maintain reliable, contemporaneous contract records. Excellent verbal and written communication skills. Ability to prioritize multiple matters, work under pressure, and meet deadlines in a fast-paced demanding project environment. Ability to develop successful relationships with executives, employees, clients, subcontractors, vendors, and cross-functional teams. Ability to act with integrity, professionalism, sound judgment, and confidentiality. Education/Experience Juris Doctor (J.D.) from an accredited law school is required. Active membership in good standing with the State Bar of Arizona or other state is required. 5+ years of relevant legal experience involving construction, commercial contracts, procurement, corporate transactions, or a related practice area is required. Experience negotiating master agreements for large construction projects through redlines and conference calls. Experience in resolving disputes involving change orders, claims, delays, and subcontractor performance is required. Language Proficiency English proficiency is required, including the ability to read and interpret complex contracts and communicate effectively in writing and verbally. Mandarin Chinese proficiency is a plus but is not required. Additional Requirements Must be able to travel to UIS locations locally as needed to perform certain work functions. Must be able to work in both a corporate office and construction jobsite/trailer-office environment as business needs require. Frequently lift, carry, push, and pull materials weighing up to 50 pounds, and occasionally lift heavier items with assistance or mechanical equipment. Bend, stoop, kneel, crouch, and reach to perform assigned tasks. Use hands and fingers to handle, feel, grasp, and operate tools, equipment, or materials. Perform repetitive motions involving the hands, wrists, and arms. Climb ladders, stairs, or elevated surfaces as required by the job. Maintain visual acuity sufficient to read labels, instructions, safety signage, and documentation. Maintain balance and coordination while moving materials or operating equipment. Ability to work in physically demanding environments requiring frequent movement and manual labor. Work Environment Exposure to dust, noise, vibration, and moving mechanical equipment. Indoor and/or outdoor work environments, which may include varying temperatures and weather conditions. Work in confined spaces, elevated areas, or active job sites, depending on project requirements. Required use of personal protective equipment (PPE) such as hard hats, safety glasses, gloves, steel-toe boots, and high-visibility vests.
