Practice Overview: Professional Track at DLA Piper This position is part of DLA Piper's established Professional Attorney program, a non-partner track structured for practitioners dedicated to sophisticated legal practice and direct client engagement. The attorney will primarily advise emerging growth companies and the institutional venture investors that support them, covering matters across the complete corporate lifecycle from early-stage formation to exit. Key Responsibilities and Legal Mandate Attorneys in this group manage dynamic deal cycles while delivering rigorous, timely legal counsel under demanding transactional timelines. Core expectations include: Negotiating, structuring, and executing venture capital financings, including preferred stock rounds, bridge financings, and Simple Agreements for Future Equity (SAFEs). Managing comprehensive legal due diligence streams on M&A transactions and private financings. Advising founders, executive leadership, and institutional investors on day-to-day corporate governance matters. Analyzing complex legal issues, applying relevant research to deal-specific facts, and generating accurate, high-quality work product. Maintaining responsiveness to client needs during business hours, evenings, and weekends to ensure the prompt closing of transactions. Mentoring and supervising junior lawyers and staff across multidisciplinary deal teams. Traveling as required for client meetings, advocacy, or business development initiatives. Required Qualifications and Professional Competencies Candidates must possess substantial venture practice background and demonstrate a high level of proficiency across core legal and operational competencies: Education: Juris Doctor (JD) degree. Experience: 5 to 8 years of dedicated legal practice in emerging growth and venture capital. Law Firm Background: Direct and applicable AmLaw 100 law firm experience is preferred. Industry Forms: Thorough familiarity with standard venture capital documents, including NVCA model agreements, seriesseed.com forms, and Y Combinator instruments. Core Strengths: Demonstrated capability in strategic analysis, written and oral communication, client relationship building, project management, and collaborative leadership.
