What You Will Be Doing

As a Corporate Associate, you will:

• Support the corporate team on a broad range of business and transactional matters
• Prepare, review, and mark up agreements tied to entity formation, including shareholder and operating agreements, deal documents for mergers and acquisitions, and general business contracts
• Partner with senior attorneys to counsel clients on corporate matters spanning M&A deals, commercial agreements, governance documents, and financing arrangements
• Review corporate policies and internal procedures for alignment with applicable regulations and industry norms
• Handle legal research tied to corporate and transactional questions

Key Skills

• Drafting and redlining commercial agreements
• Due diligence for M&A deals
• Knowledge of entity formation and governance structures
• Negotiating business contracts
• Legal research tools (Westlaw/Lexis)
• Detail-oriented approach to document review
• Juggling multiple deals and competing deadlines
• Comfortable communicating directly with clients

What You Need

• 2 to 3 years handling corporate law, transactional work, M&A, and contract matters
• J.D. from an accredited law school
• Strong academic background
• Strong written and spoken communication ability
• Comfortable partnering across different practice groups
