Location

This is a full time, on-site opportunity in Blue Bell, Pennsylvania. Our legal and leadership teams work closely together in person, making this an excellent fit for someone who enjoys direct collaboration and wants to play an important role within the organization. Remote and hybrid arrangements are not available.

Note

Candidates must have at least 4+ years of directly relevant corporate and/or employment law paralegal experience. Strong experience with employment agreements, corporate governance, entity maintenance, business contracts, and confidential legal matters is important. Healthcare experience is strongly preferred but not required.

Job Description

• Draft, revise, and administer employment agreements, independent contractor agreements, offer letters, amendments, compensation agreements, separation agreements, and related employment documents.
• Support HR and leadership with employment matters including investigations, complaints, disciplinary documentation, terminations, agency matters, and employment claims.
• Maintain corporate records for multiple corporations, LLCs, subsidiaries, affiliated entities, and other business structures across multiple states.
• Prepare resolutions, written consents, minutes, officer and director documentation, ownership records, organizational charts, and other corporate governance materials.
• Coordinate entity formations, foreign qualifications, amendments, registrations, annual reports, dissolutions, and other state filings.
• Draft and administer business agreements using approved templates, including employment, independent contractor, consulting, vendor, management, and professional services agreements.
• Maintain centralized contract records and track renewals, expiration dates, notice periods, termination deadlines, signatures, and other contractual obligations.
• Support acquisitions, joint ventures, affiliations, ownership changes, corporate restructuring, due diligence, closing documentation, and post closing requirements.
• Coordinate legal matters, documentation, deadlines, and information requests among executives, HR, operations, finance, and outside counsel.
• Help develop templates, checklists, filing systems, procedures, and more efficient legal operations processes.

Qualifications

• 4+ years of relevant paralegal experience in corporate and/or employment law.
• Associate's degree, bachelor's degree, recognized paralegal certification, or equivalent relevant professional background.
• Strong experience preparing and managing employment law documentation and agreements.
• Experience with corporate governance, entity maintenance, resolutions, corporate filings, and commercial contracts.
• Ability to independently prepare and manage legal documents using attorney approved templates.
• Strong writing, proofreading, organization, document management, and deadline management skills.
• Ability to handle highly confidential employment and corporate information with discretion.
• Comfortable partnering with executives, HR professionals, operational leaders, attorneys, and outside counsel.
• Proficiency with Microsoft Office, electronic signature platforms, document management systems, and related legal technology.
• Healthcare, physician group, hospital, health system, healthcare law firm, multistate employer, or in-house legal department experience is strongly preferred.
