Sr Director, Corporate Counsel

Responsibilities Provide legal support on corporate finance and governance matters while collaborating with tax, treasury, accounting, finance, and internal audit teams. Draft, review, and negotiate a variety of corporate and finance agreements, governance documents, term sheets, and corporate agreements, including debt and equity transactions. Maintain corporate and legal entity structure, compliance, and governance. Advise on best practices and compliance with corporate and global regulatory matters, focusing on public company regulations, executive compensation, and anti‑bribery and ethics. Assist in developing, maintaining, and enhancing new processes, policies, procedures, and implementing compliance training. Partner with outside counsel as needed, driving business goals and providing counseling while managing time and cost. Qualifications Juris Doctor (JD) from an accredited law school. Membership in good standing with at least one U.S. State Bar. Corporate finance and corporate governance expertise, including debt and equity experience. Capacity to interact with and establish respect and confidence of senior business leaders. Ability to influence and provide timely, effective legal and business advice at all organizational levels. Demonstrated ability to manage a high volume of matters, work well under pressure, prioritize competing assignments, and meet deadlines. Business‑oriented problem solver and flexible team player, capable of partnering across departments to enable legal support for effective business execution. Ability to analyze complex matters and propose creative, practical solutions in ambiguous situations. Strong interpersonal, written, and verbal communication skills to interface effectively at various organizational levels. Professionalism, judgment, personal integrity, and confidentiality.
