This opportunity is ideal for an attorney interested in advising privately held and publicly traded companies on a broad range of corporate transactions, governance matters, mergers and acquisitions, financings, and day-to-day business counseling. Ideal Background 3-6 years of sophisticated corporate transactional experience gained at a law firm Experience representing public and private companies, founders, investors, lenders, and private equity sponsors Experience handling mergers and acquisitions, corporate restructurings, entity formations, reorganizations, and strategic business transactions Experience drafting and negotiating asset purchase agreements, stock purchase agreements, merger agreements, operating agreements, shareholder agreements, and other corporate transaction documents Experience advising clients on corporate governance, entity management, board matters, and general corporate compliance Experience conducting legal due diligence and managing transaction closings Experience with commercial contracts, financing transactions, securities matters, or private equity transactions is a plus Strong drafting, negotiation, analytical, and client counseling skills Ability to independently manage sophisticated transactions while maintaining significant client interaction Excellent academic credentials J.D. from an ABA-accredited law school required Illinois bar admission required or ability to become admitted Why This Opportunity Broad-based corporate practice with sophisticated transactional work Opportunity to advise clients throughout the entire business lifecycle Exposure to mergers and acquisitions, financings, governance, and strategic business matters Significant client interaction and early responsibility Strong mentorship, professional development, and partnership-track opportunities Collaborative AmLaw 100 environment with competitive compensation and benefits #J-18808-Ljbffr
