We partner closely with teams across Workday to support the company’s growth, innovation, and integrity by advising on all aspects of corporate law and governance matters.About the RoleWe are seeking a highly motivated senior corporate attorney who thrives in a fast-paced and high-energy environment. The ideal candidate must be a confident self-starter who can prioritize and lead multiple tasks and responsibilities with agility, efficiency, and a dose of good humor. This position will report to the Vice President & Deputy General Counsel, Corporate & Securities.Responsibilities:Advising on executive compensation matters, supporting the Compensation Committee of the Board of Directors, and providing broad-based equity compensation program support and advice including support of 10b5-1 plans, equity and bonus programs, and Workday’s trading policy.Providing legal support for capital markets activities, including share repurchase programs, debt and equity offerings, and other transactional corporate matters.Leading aspects of U.S. securities law compliance and public company disclosure, including advising on disclosure strategy and content and partnering with finance, IR, and communications teams to ensure accurate and consistent communications and disclosures.Advising on corporate governance matters, including general board and committee support, maintaining corporate policies, guidelines, and charters, and responding to evolving regulatory and market expectations.Providing strategic, practical legal advice to the accounting and finance, public relations and communications, investor relations, human resources, stock administration, tax, and treasury teams.Assisting where needed on other legal matters, such as M&A, cybersecurity, and subsidiary management, both domestic and international.Helping to develop, implement, and continually improve company and team processes and procedures, including through the implementation of tools and innovative technologies.About YouRequired Qualifications:JD and active license to practice (U.S.).At least seven years of relevant experience at a top-tier law firm and/or in-house legal department, with substantial corporate and securities experience supporting a public company.Other Qualifications:Deep knowledge of and experience with public company reporting requirements, particularly executive compensation disclosures, and a keen interest in expanding that knowledge and experience.Experience with executive compensation and equity program support at scale.Experience supporting capital markets transactions in a public company environment.High level of integrity, professionalism, intellectual curiosity, humility, and willingness to stretch.Impeccable written and oral communication skills and the ability to communicate effectively with legal and non-legal audiences at all levels of the organization.Strong organizational as well as people and project management skills, and the ability to thrive in a fast-paced, ever-changing and often uncertain environment.Excellent at understanding complex topics as well as finding streamlined solutions to complex issues that address appropriate levels of risk.Ability to work both independently and collaboratively across teams, build strong relationships, and inspire others to collectively achieve corporate objectives.Demonstrated ability to use AI to improve speed and quality in your day-to-day workflow for relevant outputs.Workday Pay Transparency StatementThe annualized base salary ranges for the primary location and any additional locations are listed below. Workday pay ranges vary based on work location. As a part of the total compensation package, this role may be eligible for the Workday Bonus Plan or a role-specific commission/bonus, as well as annual refresh stock grants.
