Emerging Companies & Venture Capital Associate

Norton Rose Fulbright is seeking a mid-level Associate to join its Corporate practice in Austin, with a focus on emerging companies and venture capital. The ideal candidate will have 3 to 6 years of relevant corporate experience representing emerging and growth-stage companies, investors, and other market participants across a broad range of transactional and strategic matters. This role offers the opportunity to advise innovative companies throughout the business life cycle, from formation and early-stage financings through growth, strategic transactions, and exit. You will counsel clients on venture capital and other financing transactions, mergers and acquisitions, corporate governance, and general corporate matters, working closely with founders, management teams, boards of directors, and investors. The practice also provides opportunities to advise later-stage and public companies on capital markets transactions, securities law, and SEC disclosure and compliance matters. Key Responsibilities: Represent emerging and growth-stage companies throughout their business life cycle, including formation, financing, growth, and exit transactions Advise companies and investors on venture capital and other private financing transactions Draft, review, and negotiate financing, corporate governance, and other transactional documents Advise portfolio companies on private equity transactions throughout the full investment lifecycle Work with founders, management teams, and boards of directors on corporate governance and general corporate matters Support mergers and acquisitions and other strategic transactions involving emerging and growth-stage companies Conduct due diligence and coordinate transaction execution across practice areas Assist later-stage and public company clients with capital markets transactions, securities law compliance, and SEC disclosure and reporting matters Develop strong client relationships and assume increasing responsibility for day-to-day matter and transaction management Collaborate with colleagues across practices and offices to support clients as their businesses grow and their legal needs evolve Qualifications and Skills: 3 to 6 years of corporate transactional experience, preferably in a national or international law firm environment Meaningful experience representing emerging companies, venture capital investors, or both Experience with venture capital financings and related corporate governance matters Experience with M&A, capital markets, or public company securities matters is a plus Strong drafting, analytical, and communication skills Ability to manage multiple matters and work directly with clients in a fast-paced, collaborative environment Location: This position is based in Austin, TX.
