Capital Markets Associate Attorney
Direct Counsel is seeking a Capital Markets Associate Attorney to join a prestigious Am Law firm in Washington, DC .
This is an outstanding opportunity for an attorney with 1-3 years of capital markets experience to join a sophisticated practice representing issuers, underwriters, investors, financial institutions, and public companies in a broad range of securities offerings, capital-raising transactions, and corporate governance matters.
ResponsibilitiesRepresent issuers, underwriters, agents, and financial institutions in public and private offerings of equity and debt securities.
Advise clients on capital markets transactions, including IPOs, follow-on offerings, Rule 144A offerings, private placements, convertible securities, and debt financings.
Counsel public companies on SEC reporting obligations under the Securities Exchange Act of 1934.
Advise clients on corporate governance matters, stock exchange listing requirements, and securities law compliance.
Draft and review registration statements, offering documents, SEC filings, and transaction-related agreements.
Assist with due diligence and manage key aspects of capital markets transactions from inception through closing.
Collaborate with attorneys across corporate and finance practices to support complex transactions.
J.D. from an ABA-accredited law school.
Active membership in a U.S. state bar or eligibility to waive into the applicable jurisdiction.
1-3 years of capital markets experience.
Experience representing issuers, underwriters, agents, and financial institutions in public and private securities offerings.
Experience advising public companies on SEC reporting obligations, corporate governance, and stock exchange listing requirements.
Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934 .
Excellent drafting, analytical, negotiation, and communication skills.
Salary: $225,000-$260,000, commensurate with experience and qualifications.
