Capital Markets Associate Attorney

Direct Counsel is seeking a Capital Markets Associate Attorney to join a prestigious Am Law firm in Washington, DC .

This is an outstanding opportunity for an attorney with 1-3 years of capital markets experience to join a sophisticated practice representing issuers, underwriters, investors, financial institutions, and public companies in a broad range of securities offerings, capital-raising transactions, and corporate governance matters.

Responsibilities

• Represent issuers, underwriters, agents, and financial institutions in public and private offerings of equity and debt securities.

• Advise clients on capital markets transactions, including IPOs, follow-on offerings, Rule 144A offerings, private placements, convertible securities, and debt financings.

• Counsel public companies on SEC reporting obligations under the Securities Exchange Act of 1934.

• Advise clients on corporate governance matters, stock exchange listing requirements, and securities law compliance.

• Draft and review registration statements, offering documents, SEC filings, and transaction-related agreements.

• Assist with due diligence and manage key aspects of capital markets transactions from inception through closing.

• Collaborate with attorneys across corporate and finance practices to support complex transactions.

Qualifications

• J.D. from an ABA-accredited law school.

• Active membership in a U.S. state bar or eligibility to waive into the applicable jurisdiction.

• 1-3 years of capital markets experience.

• Experience representing issuers, underwriters, agents, and financial institutions in public and private securities offerings.

• Experience advising public companies on SEC reporting obligations, corporate governance, and stock exchange listing requirements.

• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934 .

• Excellent drafting, analytical, negotiation, and communication skills.

Compensation & Benefits

• Salary: $225,000-$260,000, commensurate with experience and qualifications.
