Type: Full-Time
Direct Counsel represents an Amlaw 100 firm seeking a highly qualified Senior Corporate Associate to join its Mergers & Acquisitions / Private Equity Practice in the Los Angeles office. This is an excellent opportunity to work on sophisticated, high-value transactions alongside a market-leading team advising global businesses and investors.
Key Responsibilities:Advise clients on complex M&A and private equity transactions , including acquisitions, dispositions, joint ventures, and other strategic deals.
Draft, review, and negotiate purchase agreements, shareholder agreements, joint venture agreements, and ancillary contracts .
Lead due diligence processes and provide analysis on corporate structures and risk assessment.
Work closely with partners and senior leadership on deal strategy and execution .
Develop and maintain strong client relationships, with opportunities for increased leadership and responsibility.
Minimum of 5 years of experience in mergers & acquisitions and/or private equity.
Strong drafting, negotiation, and communication skills .
Excellent academic credentials.
Ability to manage multiple complex transactions simultaneously in a fast-paced environment.
Admission to the California Bar , or eligibility to practice in California.
