Corporate Counsel

To support a growing telehealth practice, the full-time Corporate Counsel will manage corporate governance, entity management, and compliance across subsidiaries while working remotely. Key responsibilities Own subsidiary governance and corporate hygiene, including organizational documents and state registrations Draft and maintain intercompany agreements and support capitalization table accuracy Manage corporate diligence for financings and M&A transactions, including data rooms and closing documentation Required qualifications Juris Doctor (JD) from an ABA-accredited law school with an active license to practice in at least one U.S. jurisdiction 4-6 years of corporate law experience from a law firm or in-house legal team, preferably with corporate or emerging companies/venture capital training Hands-on experience with entity governance and corporate maintenance for multi-entity organizations Working knowledge of cap tables, equity issuances, and board governance mechanics Experience supporting financings and M&A, including diligence and post-closing clean-up
