Private Equity & Investment Funds Attorney

$90 - $130 per hour

Apply your transactional legal expertise to help improve advanced AI systems through detailed analysis of complex private equity, investment fund, and corporate agreements. This remote contractor role focuses on delivering accurate, practical legal insight across sophisticated transaction documentation. No prior AI experience is required. Key Responsibilities

Review and annotate transactional agreements, including MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs.
Analyze and provide structured feedback on credit agreements, banking documents, SaaS and cloud service agreements, leases, employment agreements, and IP or technology licenses.
Contribute expertise in investment funds, asset management, private equity, M&A, and corporate and commercial law, with emphasis on contract drafting and negotiation.
Clarify legal language and contractual terms to support accurate AI learning materials.
Draft sample clauses and identify material legal risk areas in contracts.
Provide relevant context on data privacy, cybersecurity, and technology transaction trends.
Collaborate with legal professionals to benchmark agreement standards and identify best practices.

Qualifications

JD from an accredited law school strongly preferred. An LLM may be considered with exceptional relevant experience.
At least 8 years of experience in private equity, investment funds, M&A, or asset management legal practice, including significant responsibility for complex agreements.
Demonstrated experience drafting, negotiating, and analyzing MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
Strong knowledge of contract-focused work in investment funds, banking and finance, technology and SaaS, and data privacy.
Exceptional written and verbal communication skills, with precise legal drafting and analysis.
Ability to synthesize complex legal concepts for varied audiences while maintaining close attention to detail.
Familiarity with emerging technology-contract, data-privacy, and cloud-services trends is a plus.

Work Terms

Remote independent contractor engagement.

Compensation
