Private Equity & Investment Funds Attorney for AI Training [Remote]

Provide senior-level legal review, drafting, and analysis of complex transactional documentation and investment fund matters to produce high-quality, real-world legal inputs used to train next-generation AI systems. This is a remote contractor role focused on contract-heavy work across private equity, investment funds, M&A, banking and technology transactions. No prior AI experience is required.

• Review and annotate a wide range of transactional agreements, including MSAs, SPAs/APAs, LPAs, DPAs, NDAs, and side letters, ensuring accuracy and practical insight.
• Analyze and give structured feedback on credit agreements, banking documents, SaaS and cloud service agreements, leases, employment agreements, and IP and technology licenses.
• Provide subject-matter expertise on investment funds, asset management, private equity, M&A, and corporate and commercial law, with emphasis on negotiation and drafting nuances.
• Evaluate and clarify legal language to improve contractual understanding and application for advanced AI learning frameworks.
• Draft sample clauses and identify key risk areas in contracts to support creation of robust training data sets.
• Monitor and incorporate sector-specific trends in data privacy, cybersecurity, and technology transactions where relevant.
• Collaborate with other legal professionals to benchmark agreement standards and highlight best practices for training materials.

• JD from an accredited law school is strongly preferred; an LLM may be considered with exceptional relevant experience.
• Minimum 8 years of legal experience in private equity, investment funds, M&A, or asset management, with significant responsibility for complex agreements.
• Demonstrated expertise with transactional documents, including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
• In-depth knowledge of contract-heavy work in investment funds, banking and finance, technology/SaaS, and data privacy sectors.
• Proven skills in contract drafting and negotiation, transactional document analysis, legal risk assessment, legal writing, and annotation.
• Exceptional written and verbal communication skills, with the ability to synthesize complex legal concepts for varied audiences and maintain strong attention to detail.
• Familiarity with data privacy, cybersecurity law, and emerging trends in technology contracts and cloud services is a plus.

• Pay rate: $90.00 to $130.00 per hour, paid on an hourly basis.
