People Placers Staffing is currently seeking an elite legal practitioner on behalf of our client, a premier international law firm, to join their highly-regarded tax department in the heart of the West Coast’s financial and technology hub.

§ Title: Transactional Tax Architect | Mid-Level Associate – Innovation & Private Capital ⚖️

§ Practice Area: Strategic Business Taxation, Private Equity Structuring, and M&A Advisory

§ Location: San Francisco, CA

§ Salary: $235,000 to $310,000 Base Salary (Plus market-leading bonus incentives and comprehensive executive benefits)

§ Schedule: Full-time, Direct-Hire, Minimum 1,850 hours annual billed

§ Duties: The Associate will function as a vital technical advisor, architecting sophisticated tax solutions for a diverse portfolio of high-growth companies, venture capital firms, and private equity sponsors. This role demands a seamless integration of tax theory with practical, high-stakes commercial application.

⨖ Crafting and implementing tax-efficient frameworks for domestic and cross-border mergers, acquisitions, and strategic divestitures. ⨖ Providing high-level counsel on the formation and governance of Private Equity Funds, Real Estate Investment Trusts (REITs), and specialized investment vehicles. ⨖ Designing complex partnership and LLC structures to facilitate joint ventures and multi-party commercial undertakings. ⨖ Negotiating and drafting tax-centric provisions in deal documentation for capital markets transactions and sophisticated debt and equity financings. ⨖ Conducting comprehensive tax due diligence to identify potential liabilities and opportunities for optimization within target entities.

§ Qualifications: The firm maintains rigorous standards and seeks candidates who possess both the intellectual pedigree and the practical experience to contribute immediately.

⨖ Juris Doctor (J.D.) from an ABA-accredited law school with a record of exceptional academic achievement. ⨖ Active Bar admission in the State of California, or the immediate eligibility to waive in/secure admission. ⨖ Three (3) to Four (4) years of substantive experience in transactional tax law at a major international or peer-market law firm. ⨖ Demonstrated proficiency in managing substantial deal workstreams independently while contributing to a collaborative team environment. ⨖ Superb analytical, drafting, and interpersonal communication skills.

§ Skills:

⨖ An L.L.M. in Taxation from a top-tier institution is highly preferred and will be viewed as a significant credential. ⨖ Technical mastery of Subchapter K (Partnerships) and Subchapter C (Corporations) within the Internal Revenue Code. ⨖ Familiarity with tax issues specific to technology startups, including equity compensation and intellectual property transfers. ⨖ Proven ability to synthesize complex regulatory requirements into clear, strategic advice for sophisticated C-suite clients.
