We are looking for an experienced Corporate Transactions Paralegal to support complex deal activity and legal operations for a Long-term Contract position based in Ohio. This role is well suited for a highly organized individual who can manage transaction workflows, coordinate across business and legal teams, and keep critical deliverables moving from diligence through closing. The ideal candidate brings strong corporate transaction experience, sound legal research capabilities, and the ability to organize multiple priorities in a fast-paced environment.

Responsibilities:
• Oversee transactional support across the full deal lifecycle, including virtual data room administration, diligence coordination, document review, and preparation of materials needed for signing and closing.
• Prepare and revise disclosure schedules, closing documents, and other transaction-related materials while helping organize regulatory submissions such as antitrust-related filings.
• Track internal approvals, manage execution logistics, and coordinate post-closing follow-up items to help ensure transactions are completed accurately and efficiently.
• Partner with attorneys, business stakeholders, external counsel, and third-party advisors to align timelines, gather required information, and resolve open issues during active matters.
• Build and maintain practical resources such as playbooks, precedent files, templates, diligence tools, integration guides, and closing checklists to improve consistency in future transactions.
• Coordinate signature collection for transaction documents and corporate filings, and provide notarization support when required.
• Conduct legal and corporate research involving applicable statutes, governance matters, and transaction-related issues, including work connected to Ohio and Delaware law.
• Support legal matters for additional business units and contribute to integration activities related to completed transactions as needed.• At least 8 years of experience working as a corporate transactional paralegal.
• Extensive background supporting mergers and acquisitions, venture capital matters, equity or debt financings, and other sophisticated corporate transactions.
• Strong proficiency with Microsoft Excel, OneDrive, Teams, SharePoint, and Planner.
• Hands-on experience using electronic legal research platforms such as Intelligize and working within online data room environments such as IntraLinks.
• Demonstrated knowledge of corporate law, with the ability to research, analyze, and apply legal concepts in a transactional setting.
• Familiarity with Section 16 filings and related obligations for public companies.
• Proven ability to manage complex projects, coordinate numerous stakeholders, balance competing deadlines, and monitor deliverables effectively.
• Excellent written and verbal communication skills.
