This position focuses on structuring, negotiating, and executing complex M&A transactions and general corporate matters.ResponsibilitiesLead and support M&A transactions from letter of intent through closingDraft and negotiate purchase agreements, operating agreements, shareholder agreements, and ancillary documentsConduct due diligence and manage transaction timelinesAdvise clients on corporate governance, compliance, and transactional riskCoordinate with opposing counsel, financial advisors, and stakeholdersSupport securities matters and public company transactions where applicableQualificationsActive Arizona Bar membership8+ years of corporate transactional experienceSignificant experience handling M&A transactionsExperience with public companies and securities law preferredLarge law firm background a plusStrong drafting, negotiation, and client management skills
