Corporate Counsel | TechnologyLocation: New York City, hybrid (3 days in)Do not pass up this chance, apply quickly if your experience and skills match what is in the following description.I'm partnering with a PE-backed technology company that is looking to hire a Corporate Counsel to take ownership of its day-to-day legal function.This is a highly commercial role within a lean, fast-moving business, with approximately 75% of the workload focused on commercial contracting. The successful candidate will work closely with the commercial team, taking the lead on contract drafting and negotiations while also advising on data privacy and other legal matters as they arise.The RoleResponsibilities will include:Drafting, reviewing and negotiating a broad range of commercial agreements, including SaaS agreements, MSAs, DPAs, and NDAsNegotiating both company-standard agreements and third-party paper, including agreements with large, sophisticated customersPartnering closely with the commercial team throughout customer negotiationsJoining calls with prospective customers to work through contractual issues and reach practical solutionsAdvising on data privacy matters arising within commercial relationshipsDrafting and negotiating DPAs and providing guidance on GDPR and other relevant privacy requirementsProviding occasional support across employment, IP and new product launchesContinuing to develop efficiencies within the legal function, including leveraging AI and technologyExperienceJuris Doctor degree and active membership in good standing with at least 1 US state barApproximately 5-7 years of relevant legal experienceStrong commercial contracting experience, ideally gained in-house within a technology environmentExperience drafting and negotiating SaaS agreements, MSAs, DPAs and NDAsWorking knowledge of data privacy, including GDPRComfortable independently owning a commercial contracting functionPragmatic and commercially minded, with the ability to balance legal risk against business objectivesComfortable working with a demanding commercial team and managing quick turnaround timesAdaptable and able to respond effectively as priorities and contractual positions changeIf this opportunity aligns with your experience, please apply.
