Corporate Paralegal

Corporate Paralegal Location: Canton, MA (Hybrid 3 days onsite) Salary: $90,000-$95,000 Key Responsibilities Legal Process & Subpoena Handling: Serve as the principal company contact and liaison for subpoenas, garnishments, court orders, and related legal instruments. Records Custody & Preservation: Serve as keeper of records, providing operational support in process routing, discovery, legal holds, records preservation, tracking, and fulfillment. Corporate Governance & Board Support: Prepare and maintain board and committee minutes, board resolutions, bylaws, regulatory filings, and corporate records. Board Administration: Schedule board and committee meetings and events, coordinating logistics and materials with the executive management team. Compliance & Date Tracking: Calendar, track, and communicate critical organizational, regulatory, and compliance deadlines. Contract Lifecycle Management: Provide end-to-end contract support, including initial review of vendor contracts, service agreements, non-disclosure agreements (NDAs), leases, and purchase/sale agreements. Manage signature routing, notarization, and record retention. Policy Oversight: Collaborate with cross-functional teams to ensure company policies adhere to formatting, content, and approval standards. Transaction & M&A Support: Assist with due diligence efforts for mergers, acquisitions, and related strategic corporate transactions. Additional Duties: Perform other confidential and administrative duties as assigned. Qualifications Education: Associate degree or higher, or a Paralegal Certificate required. Experience: 4+ years of experience as a paralegal, with demonstrated expertise in corporate governance and board processes (financial institution experience preferred). Technical Proficiency: Advanced skills in Microsoft Office Suite, board/governance management portals, and SharePoint. Licensure: Active Notary Public designation preferred. Skills: Strong written and verbal communication abilities; project management experience preferred. Key Competencies Governance & Documentation Management: Oversees board materials, resolutions, bylaws, and corporate records with high precision and accuracy. Regulatory Application: Applies relevant legal and governance requirements to identify and mitigate compliance risks. Judgment & Problem Solving: Demonstrates sound discretion when resolving non-routine legal requests and handling sensitive, high-confidentiality matters. Coordination & Organization: Multi-tasks effectively across board schedules, document reviews, and regulatory deadlines with meticulous attention to detail. Communication: Interacts professionally and discreetly with senior executives, board members, legal counsel, and external partners.
