You’re a corporate attorney who loves being in the middle of the action—forming companies, structuring deals, and guiding clients through pivotal transactions.

You won’t be stuck in the back room doing research all day.

You’ll advise directly, draft the core documents, and help negotiate the agreements that shape clients’ futures. If you’ve been handling business transactions and want a platform to do more, we want to talk to you.

What You'll Work On

You’ll handle a broad mix of corporate and business transactional matters, including:

• Business and corporate transactions across diverse industries
• Mergers and acquisitions
• Business formations and restructurings
• Commercial agreements and contracts
• Organizational and governance documents
• General corporate matters
• Complex business negotiations and deal structures
• Client counseling on transactional strategy and risk

You’ll be immersed in drafting, reviewing, and refining the documents that make these transactions happen—and in the client conversations that drive them.

The core challenge: balance legal precision with practical, business-focused advice.

What You'll Be Doing

• Advising clients on a broad range of business and corporate transactions
• Drafting and reviewing agreements, contracts, and transactional documents
• Preparing organizational documents and governance materials
• Assisting with mergers, acquisitions, formations, and restructurings
• Conducting legal research to support transactions and client advice
• Performing due diligence and analyzing transaction risks
• Working directly with clients and their other advisors throughout deals
• Assisting with negotiating and structuring complex business agreements
• Managing multiple transactions, timelines, and competing deadlines
• Maintaining and strengthening strong client relationships
• Collaborating effectively with other attorneys across the firm
• Handling matters independently while knowing when to loop in colleagues

What We're Looking For

• J.D. from an accredited law school
• Admission to the Pennsylvania Bar
• At least 3 years of business transactions or corporate law experience
• Background with mergers and acquisitions, business formations, contracts, and general corporate matters preferred
• Strong drafting, negotiation, research, and analytical skills
• Excellent communication and client-service skills
• Ability to work independently while collaborating effectively with attorneys and clients

Important Requirements

J.D. and admission to the Pennsylvania Bar are required.

Minimum of 3 years of business transactions or corporate law experience required.
