Corporate Private Equity / Mergers & Acquisitions Associate Attorney – Mid-Level

Direct Counsel is seeking a mid-level Associate Attorney with 4–6 years of meaningful M&A and transactional experience to join a sophisticated corporate and private equity practice in New York.

The ideal candidate will have experience representing private equity sponsors, institutional investors, family offices, alternative asset managers, and portfolio companies in a variety of transactions, including:

• Leveraged buyouts and add-on acquisitions

• Divestitures

• Growth investments

• Strategic joint ventures

• Corporate and portfolio company matters

Candidates should have significant hands-on experience drafting and negotiating acquisition agreements, equity and investment agreements, and other transaction documents. The successful candidate will be comfortable serving as a key member of deal teams, preparing client-ready documents, coordinating due diligence and other workstreams, and taking ownership of key aspects of transactions from initial structuring and negotiation through signing and closing.

Experience with middle-market private equity transactions is preferred. Candidates should be comfortable working directly with clients, opposing counsel, and other transaction participants and demonstrate strong technical and drafting skills, sound commercial judgment, attention to detail, and the ability to manage multiple workstreams effectively within a collaborative team environment.

Requirements:

• 4–6 years of M&A and private equity transactional experience

• Experience representing private equity sponsors and/or other financial investors

• Strong drafting and negotiation skills

• Experience managing due diligence and transaction workstreams

• Active membership in the New York State Bar

Experience: 4–6 years
Salary: $235,000–$365,000, depending on experience and other factors
