We are a highly respected boutique corporate law firm seeking a talented Corporate M&A Attorney with 3+ years of transactional experience to join our growing New York office.

Our practice is built around advising innovative, high-growth companies through every stage of their lifecycle, from early financing and growth initiatives to strategic acquisitions and successful exits. We have earned a national reputation for representing disruptive brands, entrepreneurs, investors, and emerging companies in sophisticated corporate transactions. The firm has advised clients in hundreds of financing transactions and numerous high-profile acquisitions involving globally recognized strategic buyers and private equity sponsors.

This is an exceptional opportunity for an attorney who wants meaningful client contact, sophisticated deal work, and the ability to play a key role in transactions rather than being one of many attorneys on a large deal team.

What You'll Do

• Draft, review, and negotiate asset purchase agreements, stock purchase agreements, merger agreements, and related transaction documents.
• Lead and manage due diligence processes.
• Assist clients with mergers, acquisitions, divestitures, strategic investments, and joint ventures.
• Advise emerging growth and middle-market companies on corporate governance and general business matters.
• Support private financings, venture capital transactions, and other capital-raising activities.
• Work directly with founders, executives, investors, and business stakeholders.
• Manage transactions from letter of intent through closing.

What We're Looking For

• J.D. from an accredited law school.
• Admission to the New York Bar or ability to obtain admission promptly.
• At least 3 years of corporate transactional and M&A experience at a law firm.
• Strong drafting, negotiation, and analytical skills.
• Experience handling sophisticated deal documents and client-facing responsibilities.
• Ability to manage multiple transactions simultaneously in a fast-paced environment.
• Entrepreneurial mindset and strong business judgment.
