Senior Director, Senior Managing Counsel (Clearance & Collateral Management)

We’re seeking a collegial, highly skilled, and forward-thinking attorney to join BNY’s Legal team as a Senior Director, Senior Managing Counsel supporting the Clearance & Collateral Management (“CCM”) business. This is an exciting opportunity to work at the intersection of law, regulation, market infrastructure, digital assets, and product innovation. This role is available in New York, New York. The CCM legal team supports a dynamic and rapidly evolving business that sits at the center of major market structure and liquidity initiatives. The team advises on core clearance and collateral products while also supporting new and strategic efforts involving central clearing, digital assets, tokenization, collateral optimization, and next-generation market infrastructure. The team is actively exploring modern legal and business applications of technology, and candidates who are comfortable using AI tools thoughtfully and responsibly to improve efficiency, analysis, and drafting are especially well suited to succeed.In this role, you’ll make an impact in the following ways: Providing legal and regulatory advice to the Clearance & Collateral Management business across a broad and expanding product setServing as a key legal advisor on strategic transactions, regulatory initiatives, corporate projects, and collaborations with internal and external partnersSupporting product development and lifecycle management, including drafting, negotiating, and updating complex documentationAdvising on central clearing, tri-party collateral management, custody, segregation, and related market infrastructure mattersSupporting innovative initiatives involving digital assets, tokenization, distributed ledger technology, and other emerging technologiesPartnering closely with Compliance, Credit, Risk, Operations, Technology, and other legal colleagues to deliver practical, business-oriented adviceDrafting and reviewing policies, procedures, client-facing materials, and thought leadership contentMonitoring legal, regulatory, and market developments and advising the business on evolving requirements and opportunitiesParticipating in industry working groups and advocacy efforts, including matters involving SIFMA and other relevant forumsHelping drive efficient and scalable legal support in a high-volume environmentExamples of work may include:Central clearing documentation and regulatory support for multiple central counterpartiesLegal support for digital asset and tokenization initiativesAdvising on market infrastructure projects involving clearing, settlement, custody, and collateral movementSupporting new product launches and enhancements involving AI-enabled workflow changesAssisting with high-priority projects with aggressive timelines and significant business visibilityTo be successful in this role, we’re seeking the following:J.D. and admission to practice law in New York[8–12] years of experience at a law firm and/or large financial institutionExperience with tri-party arrangements, collateral management, clearance, custody, and related financial market productsFamiliarity with clearing agreements, account control agreements, security agreements, MSLA, MRA, ISDA Master Agreements, CSAs, and similar industry-standard documentationStrong knowledge of securities law, SEC rules, UCC Article 8, and related broker-dealer and investment fund considerationsFamiliarity with central clearing, securities finance, derivatives, and evolving regulatory issues in the collateral management spaceExperience with or interest in digital assets, tokenization, DLT, or other emerging market infrastructure technologiesExcellent written and verbal communication skills, with the ability to produce clear, concise, and practical legal analysisStrong drafting, negotiation, and problem-solving skillsAbility to manage multiple priorities in a fast-paced and rapidly changing environmentA highly collaborative, collegial approach and the ability to work effectively across teamsComfort with technology and a willingness to adopt and improve AI-enabled legal workflowsPreferred qualities:Intellectual curiosity and enthusiasm for innovative financial market infrastructureA proactive mindset and strong judgmentAbility to manage ambiguity while maintaining attention to detailInterest in shaping new products and helping the business navigate novel legal questionsExperience working on highly visible, time-sensitive initiatives with cross-functional stakeholdersAt BNY, our culture allows us to run our company better and enables employees’ growth and success.
