Direct Counsel is seeking a Corporate Associate to join a premier Mergers & Acquisitions and Private Equity practice in Dallas. This opportunity is ideal for attorneys with significant transactional experience who are looking to work on sophisticated acquisitions, dispositions, private equity investments, and strategic corporate transactions while taking on meaningful responsibility and direct client contact.

The ideal candidate will have strong M&A experience, excellent drafting skills, and the ability to manage complex transactions with a high degree of independence.

Responsibilities

• Advise corporate clients and private equity sponsors on complex transactional matters
• Represent clients in:
  • Mergers and acquisitions
  • Private equity investments
  • Minority investments
  • Strategic transactions
  • Corporate governance matters
• Draft and negotiate transaction documents and ancillary agreements
• Manage transactions from inception through closing
• Coordinate due diligence processes and transaction teams
• Advise clients on corporate law matters and market terms
• Work directly with clients, opposing counsel, and deal stakeholders
• Support business development and client relationship initiatives

Qualifications

• J.D. from an accredited law school
• Law school class years 2020–2024
• Significant experience handling M&A transactions
• Strong understanding of corporate law and market transaction terms
• Experience drafting and negotiating transaction documents
• Strong deal management and organizational skills
• Excellent analytical, writing, and communication abilities
• Entrepreneurial mindset with strong client-service skills
• Ability to work independently and assume substantial responsibility
• Interest in direct client interaction and relationship development

Compensation & Benefits

• Salary range: $225,000 – $365,000
