Corporate CounselLocation: San Jose, Camarillo, or Irvine California (Onsite 4 days a week)Job Summary:As Corporate Counsel, you will serve as a key legal advisor focused on commercial contracts for Semtech's global business operations. You will draft, review, and negotiate a wide range of agreements and partner closely with business development, sales, finance, and operations to manage contract risk and support deal velocity. The ideal candidate has strong commercial contracts drafting and negotiation skills and holds an active notary commission.Responsibilities:Commercial Contracts and TransactionsDraft, review, and negotiate a wide range of commercial contracts, including NDAs, master supply agreements, licensing agreements, SaaS agreements, vendor agreements, sales/distribution/reseller agreements, and professional services agreementsProvide practical guidance to business teams on contract structures, risk allocation, and deal termsLead negotiation of complex or higher-value commercial agreements as neededMaintain and enhance contract templates, playbooks, and best practices for the organizationEnsure contracts comply with applicable laws, company policies, and business objectivesManage relationships with commercial partners and help resolve contractual disputesNotarize corporate documents and agreements as neededCross-Functional SupportPartner with business development, sales, finance, and operations on day-to-day legal needsLiaise with outside counsel on specialized or higher-complexity mattersSupport internal contract training and process improvement initiativesMinimum Qualifications:Juris Doctor (JD) from an accredited law schoolActive membership in good standing with the bar4-8 years of experience in corporate/commercial contract law, in-house or law firmActive Notary Public commission (California), or ability to obtain promptly upon hireBased in or able to work hybrid from San Jose, CaliforniaStrong drafting, negotiation, and communication skillsAbility to manage multiple contracts and competing deadlines independentlyDesired Qualifications:Experience with semiconductor or technology industry contractsExposure to corporate governance, SEC filings, or M&A support (nice to have, not required)Experience with contract management softwareStrong business acumen with the ability to balance legal risk against business objectivesThe intent of this job description is to describe the major duties and responsibilities performed by incumbents of this job. There are several factors taken into consideration in determining base salary, including but not limited to: job-related qualifications, skills, education and experience, as well as job location and the value of other elements of an employee's total compensation package.
