Intellectual Property Transactions Associate Attorney – Life Sciences

Direct Counsel is seeking an Intellectual Property Transactions Associate Attorney with 3–5 years of experience to join a leading global law firm and its highly regarded Intellectual Property Transactions practice.

Position Overview

The ideal candidate will have substantial experience in intellectual property transactions and licensing , with a strong focus on the life sciences industry , including biotechnology, pharmaceuticals, or medical devices. This is an excellent opportunity to advise sophisticated clients at the intersection of intellectual property, innovation, and business strategy.

The attorney will work with a diverse client base ranging from global pharmaceutical companies and emerging biotechnology companies to medical device leaders, as well as the private equity firms, venture capital funds, and strategic investors that finance and acquire these businesses.

Responsibilities

• Advise clients on complex transactions involving intellectual property licenses and collaborations.

• Support strategic M&A transactions, including pharmaceutical and biotechnology acquisitions.

• Assist with NewCo formations and carve-out transactions establishing new companies.

• Draft, review, and negotiate commercial agreements involving intellectual property, technology, and data assets.

• Handle manufacturing, supply, distribution, and other commercial agreements within the life sciences and healthcare industries.

• Advise clients on data rights, artificial intelligence, digital health, and related technology considerations.

• Assist clients with legal and regulatory issues arising in sophisticated life sciences transactions.

• Collaborate with multidisciplinary teams to develop practical solutions to complex legal and business challenges.

• Manage multiple sophisticated matters and priorities in a dynamic, high-volume environment.

Qualifications

• 3–5 years of relevant experience in intellectual property transactions, technology licensing, or related practice areas at a multi-office law firm.

• Focus on life sciences, including biotechnology, pharmaceuticals, or medical devices, required.

• Demonstrated experience drafting and negotiating complex license agreements and commercial agreements involving IP, technology, and data assets in the life sciences sector.

• Strong understanding of intellectual property and commercial transactions.

• Superior written and verbal communication skills, including the ability to explain complex legal and scientific concepts clearly.

• Excellent interpersonal and client service skills.

• Strong collaborative problem-solving and project management abilities.

• Ability to thrive in a dynamic, high-volume environment while managing multiple priorities.

• J.D. from an accredited law school or equivalent.

• Admission to practice in the relevant jurisdiction(s) required.

• Advanced scientific training such as a graduate degree in life sciences, chemistry, biomedical sciences, or engineering preferred but not required.

• USPTO admission preferred but not required.

• Proficiency in using AI technologies responsibly and ethically.

Compensation

The anticipated salary range for this position is $260,000–$365,000 annually , depending on qualifications, experience, and other relevant factors.
