Direct Counsel is seeking a Corporate Associate to join a premier Life Sciences transactional practice in San Francisco. This is an exceptional opportunity for an attorney with sophisticated corporate and securities experience who is looking to advise innovative life sciences companies and healthcare-focused investment funds on complex transactions throughout the corporate lifecycle.

The ideal candidate will have significant experience representing public and private life sciences companies in capital markets, financing, securities compliance, and M&A transactions.

Responsibilities

• Advise public and private life sciences companies on a broad range of corporate and transactional matters
• Represent dedicated healthcare and life sciences investment funds
• Structure, negotiate, and manage:
  • Initial Public Offerings (IPOs)
  • Follow-on offerings
  • At-the-Market (ATM) offerings
  • PIPE transactions
  • Venture capital financings
  • Public and private mergers and acquisitions
  • Strategic transactions and corporate restructurings
• Assist clients with SEC reporting and compliance obligations, including:
  • Forms 10-K
  • Forms 10-Q
  • Forms 8-K
• Advise clients on corporate governance and securities law matters
• Handle sophisticated M&A transactions, including:
  • Earnout-based transactions
  • Product acquisitions
  • Spin-out transactions
• Work directly with management teams, boards of directors, investors, and underwriters
• Collaborate with attorneys across capital markets, tax, intellectual property, executive compensation, and regulatory practices

Qualifications

• J.D. from an accredited law school
• Law school class years 2018–2022
• Significant corporate transactional experience
• Experience representing life sciences companies, healthcare companies, or investment funds
• Strong experience with:
  • Capital markets transactions
  • IPOs and follow-on offerings
  • PIPE transactions
  • Venture capital financings
  • SEC reporting and compliance
  • Public and private M&A transactions
• Excellent drafting, negotiation, and transaction management skills
• Strong analytical, organizational, and communication abilities
• Ability to manage complex matters and significant client responsibilities
• California Bar admission or ability to obtain admission promptly
• Outstanding academic credentials

Compensation & Benefits

• Salary range: $260,000 – $420,000
