Head of Legal Strategy (Fintech / Onchain Securities) Location: New York City Type: Full-time Support the legal infrastructure for the next generation of capital markets. As an SEC-registered Transfer Agent, Fairmint is building the foundational infrastructure for onchain equity capital markets (ECM). We make blockchain the official ledger of record for real shares, that can move as collateral, financing, and liquidity across markets. As our Head of Legal Strategy , you’ll work directly with the co-founders, CEO, CTO, the engineering and product teams, to design compliant financial infrastructure, not simply review it after it’s built. What you'll build: Design the legal architecture behind Fairmint's products & regulated infrastructure. Lead securities law strategy across transfer agency, broker-dealership & capital markets activities. Shape Fairmint's regulatory strategy with the SEC, FINRA, and other regulators. Partner daily with engineering & product to design compliant, scalable features. Lead corporate governance , commercial contracting, employment matters, and legal operations. Manage outside counsel strategically while keeping legal practical and execution-focused. Help define industry standards for programmable equity and tokenized securities. What makes you exceptional: Significant experience advising on equity securities, securities laws, broker-dealers, transfer agents, investment funds, and market infrastructure. Deep understanding of the Securities Act, Exchange Act, transfer agent regulation, equity markets, and capital formation. Strong interest in blockchain, digital assets, tokenization, and the evolution of capital markets. Product mindset: you enjoy building products, not simply reviewing documents. Entrepreneurial DNA: you think like an entrepreneur and communicate like an executive. Comfortable making decisions in ambiguous environments with incomplete information. Licensed to practice law in the United States (New York preferred). Startup package: equity + base salary The expected base salary range for this startup position comes with meaningful equity. Also, the range $180,000 to $240,000 does not include bonuses or other forms of compensation or benefits. Actual compensation will be determined based on experience, education, skills, work location, and other job-related factors.
