Director, Stock Administration

Okta is seeking a highly experienced Director of Stock Administration to report to the Sr. Director of Stock Administration. This role will be responsible for end-to-end administration of the Company's equity plans, including equity grants, restricted stock units, performance stock units, option exercises, ESPP administration and special projects for Global Equity Plans. The ideal candidate will be results-oriented and service-driven, thrive in a fast-paced environment, lead daily activities, communicate effectively with internal and external stakeholders, and identify and implement process and system improvements. The Opportunity The successful candidate will administer Okta's global equity compensation plans and coordinate with cross-functional partners to ensure accurate processing, reporting, and disclosure of employee stock transactions. What you2ll do Manage international compliance Partner with Legal, HR, Payroll, Accounting and Finance to develop processes ensuring accuracy of equity data, including record-keeping, withholding, reporting, reconciliation, and auditing; ensure proper taxation on all equity exercises and releases Ensure regulatory compliance for Section 16 executive and Board members and assist in SEC Form filings Manage reporting, review, and tracking of 10b5-1 trading plans Lead and assist with ad-hoc projects Create stock reports, assist with stock-related disclosures and audits Conduct stock analysis, modeling, and testing Ensure all forms of equity compensation are administered per plan terms and conditions Manage the quarterly calendar of stock administration activities Implement educational sessions, presentations, and communication materials for the global employee base to support understanding of equity programs and policies Provide a superior level of service to employees, management, and others supporting stock plan services, enrollment, and transactions Assist efforts to improve stock administration, including introducing best practices with controls, automating routine workstreams and paperwork Lead system improvements and implementation; assist with mobility and international reporting compliance from an equity perspective Assist with equity program communication and employee education Participate in the conversion and assumption of equity awards as part of M&A Process or support bi-annual ESPP purchases and quarterly RSU releases Participate in the preparation of the annual proxy filing, including equity data in the document What you need to succeed CEP designation preferred or willing to complete within 18 months Minimum of 9 years of stock administration experience Outstanding analytical, communication and organizational skills Excellent business judgment, strategic thinking and ability to manage multiple priorities Detail oriented with a high degree of accuracy Ability to inspire action and coordinate simultaneous initiatives Intellectually curious with an aptitude for creative problem-solving and analysis Dependable teammate, able to collaborate with cross-functional partners (Finance, Legal, HR, vendors) Ability to work in a fast-paced environment, manage competing priorities, prioritize tasks, and meet deadlines Affinity for customer service with excellent oral and written communication Confident working with various levels of management and handling highly confidential data Knowledge of regulatory and compliance matters related to equity programs and taxation Advanced Excel skills (pivot tables, XLOOKUP, VLOOKUP) Experience with EEO #LI-KC4 #LI-Hybrid (P13096_3426523) Compensation and Benefits Below is the annual base salary range for candidates located in California (excluding San Francisco Bay Area), Colorado, Illinois, New York and Washington. Your actual base salary will depend on factors such as your skills, qualifications, experience, and work location. Okta also offers equity (where applicable), bonus, and benefits including health, dental and vision insurance, 401(k), flexible spending account, and paid leave (PTO and parental leave).
