Corporate Counsel II

Exemption Status and Pay United States of America (Exempt) $156,148 - $218,608 - $281,067. Pay scale information is not necessarily reflective of actual compensation that may be earned and is always dependent on experience, education, qualifications and other factors. Job Description Summary The Corporate Counsel II position is responsible for handling moderately complex to complex legal matters as assigned by MedImpact’s Chief Legal Officer or designee. Responsibilities include providing guidance to internal business partners, drafting and reviewing communications, trial preparation and strategy, drafting, reviewing, and negotiating contracts and settlement agreements, reviewing new legislation and analyzing applicability, and reviewing other legal documents for compliance with policies and regulatory requirements. Essential Duties and Responsibilities Assist in-house General Counsel and other attorneys with moderately complex to complex corporate governance matters and corporate development initiatives. Participate, as needed, in major legal actions and litigation efforts. Direct and monitor external legal counsel. Draft, review, and/or negotiate legal documents and forms, licensing agreements, service agreements, settlement agreements and other contracts or agreements as necessary. Review and interpret a variety of agreements to ensure they meet corporate, regulatory and legal requirements. Respond to and assist internal business partners with legal questions and/or legal guidance for client issue resolution, including but not limited to the Pharmacy Network Team, Contract Management and the Regulatory Compliance team. Foresee and protect company against legal risks; perform risk assessment and risk analysis. Assist with monitoring and advising on regulatory requirements to ensure company-wide compliance. Stay current with emerging regulations, state and federal laws pertaining to the Pharmacy Benefit Management industry. Monitor legal and regulatory development on a state and federal level; provide updates and input to management regarding laws, regulations and professional standards relating to the PBM industry. Oversee and perform other related duties, tasks and responsibilities as required, assigned or directed. Supervisory Responsibilities No supervisory responsibilities. Client Responsibilities This is an internal and external client‑facing position that requires excellent customer service skills and interpersonal communication skills (listening, verbal, written). Responsibilities include: manage difficult or emotional client situations; respond promptly to client needs; solicit client feedback to improve service; respond to requests for service and assistance; meet commitments to clients. Qualifications To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. Education and/or Experience Juris Doctor (JD) with active license to practice law in the United States. Must have at least 10+ years of closely related experience. Pharmacy Benefit Management experience required. Pharmacy networks experience (pricing, contracts, etc.) required. Litigation management experience preferred. Computer Skills MS Office (Word, Excel, PowerPoint, Teams, Outlook). Ability to perform legal research. Certificates, Licenses, Registrations Juris Doctor (JD) with active license to practice law in the United States. If residing in California, must be licensed to practice in California or registered with the State Bar of California as a Registered In‑House Counsel. Other Skills and Abilities Ability to interact with employees/management of all levels. Solid business acumen, business judgment and decision‑making ability. Maintain confidentiality on all legal matters and sensitive issues. Strong analytical and risk analysis skills. Reasoning ability; define problems, collect data, establish facts, and draw valid conclusions. Interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables. Mathematical skills: calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume; apply concepts of basic algebra and geometry. Language skills: read, analyze, and interpret common scientific and technical journals, financial reports, and legal documents. Respond to common inquiries or complaints from customers, regulatory agencies, or members of the business community. Effectively present information to top management, public groups, and/or boards of directors. Write speeches and articles for publication that conform to prescribed style and format. Work Location This position works on-site at the San Diego Headquarters or other company location (or from a remote location with management approval based on business requirements). Must provide adequate support to internal clients; be available for regular interactions and coordination of work with other employees, colleagues, clients, or vendors; as well as be available to facilitate effective decisions through collaboration with stakeholders. Working Hours This is an exempt level position requiring the incumbent to work the hours required to fully accomplish job responsibilities and reasonable meet deadlines for work deliverables. The individual must have flexibility to work beyond traditional hours and be able to work nights, weekends or on holidays as required. Typical core business hours are Monday through Friday from 8:00am to 5:00pm. Work hours may be changed from time to time to meet the needs of the business.
