The Sr. Legal Counsel is a career-level professional role within Kelly's Legal function, providing in-depth legal counsel and strategic advice to internal stakeholders across the organization. This role works independently with minimal guidance, solves complex legal problems, and acts as a key resource for colleagues with less experience. The Sr. Legal Counsel may lead projects or have accountability for specific project steps within broader legal initiatives.

Key Responsibilities

• Assist with the development and implementation of corporate governance policies and procedures to ensure compliance with legal and regulatory requirements.
• Provide legal advice and counsel to internal stakeholders on complex corporate matters, including business risks and opportunities, commercial terms and conditions, and employment laws and regulations.
• Conduct thorough legal due diligence for potential acquisitions, investments, and partnerships to identify and mitigate risks.
• Draft, review, and negotiate a wide range of corporate agreements, including contracts, licenses, and leases.
• Collaborate with cross-functional teams to ensure legal alignment with business objectives and strategic initiatives.
• Manage external counsel and oversee legal projects to ensure timely and cost-effective resolution of legal issues.
• Develop and maintain relationships with key stakeholders, including regulatory bodies, industry associations, and external legal advisors.
• Conduct legal research to support legal recommendations to business stakeholders.
• Lead internal training sessions and workshops to educate employees on legal compliance and risk management.
• Monitor and analyze legal trends and developments that may impact the organization, and provide recommendations for proactive measures.
• Oversee the management of litigation and dispute resolution processes, ensuring minimal disruption to business operations.

Technical Skills

• Proficiency in legal research databases (e.g., Westlaw, LexisNexis) for comprehensive legal analysis and case law research.
• Advanced knowledge of corporate governance and compliance frameworks to ensure adherence to regulatory requirements.
• Experience with negotiating and closing complex commercial transactions.
• Familiarity with intellectual property laws and the ability to manage patent, trademark, and copyright portfolios.
• Expertise in employment law and the ability to develop and implement policies to mitigate legal risks.

• Strong leadership skills to guide legal teams and advise senior management on strategic legal matters.
• Excellent communication skills to articulate complex legal issues to non-legal stakeholders.
• Analytical thinking to assess risks and develop proactive legal strategies.

Education & Experience

• Juris Doctor (JD) ) from an accredited law school required.

• Active member in good standing with a state bar in relevant jurisdiction required.
• 5+ years of progressive legal experience in a corporate or law firm environment.
• Demonstrated ability to work independently on complex legal matters with minimal guidance.
• Experience leading legal projects or serving as a resource for less experienced colleagues.
• Strong track record of managing external counsel and cross-functional legal initiatives.

Base pay range for this position is $120,075 - $150,000 per year. Final annual compensation will be based on experience and may vary by geographic location.
