Associate General Counsel, Transactions
AbbVie
AbbVie seeks an Associate General Counsel, Transactions to advise on mergers, acquisitions, licensing agreements, and collaborations. The role involves drafting and negotiating complex corporate transactions, managing due diligence, and providing strategic legal counsel to business development and senior management.
Responsibilities
- Draft and negotiate complex transaction agreements including mergers, acquisitions, licenses, and collaborations
- Conduct due diligence and interpret complex existing agreements to identify and resolve legal issues
- Advise on antitrust, competition, and regulatory risks across multiple jurisdictions
- Select and direct outside counsel work while managing project objectives
- Provide legal guidance and supervision to paralegals and legal support staff
Requirements
- J.D. degree and state bar licensing within two years
- 15+ years of transactional and/or pharmaceutical industry experience
- Strong negotiation skills and ability to independently manage complex transactions
- Experience advising on ongoing complex contractual relationships such as development collaborations
- Excellent legal analysis and concise written and oral communication skills
- Experience with pharmaceutical licensing and collaboration transaction drafting and negotiation (preferred)
- Experience providing legal advice for pharmaceutical research and development (preferred)
