NDA and Contracts Coordinator

Position Title: NDA and Contracts Coordinator Position Description: Protingent Staffing has an exciting part-time, contract -NDA and Contracts Coordinator opportunity. Job Responsibilities Review, edit, and facilitate the negotiation of non-disclosure agreements (mutual and one-way) using established templates and company precedents. Analyze counterparty markups and draft appropriate responses and counter-proposals. Maintain accurate records of contract status, correspondence, and documentation through Jira and facilitate execution via DocuSign. Coordinate with outside counsel on non-standard, high-risk, or complex contractual matters. Assist with evaluation of contractual provisions, including those related to IP ownership, data privacy, AI use, confidentiality, indemnification, and export compliance. Support broader contract review as needed, including collaboration agreements and vendor agreements. Identify opportunities to improve contracting processes, templates, and workflows, including leveraging AI tools and agents to streamline reviews and increase efficiency. Job Qualifications 3+ years of experience reviewing, drafting, and negotiating NDAs and commercial contracts in a corporate or professional services environment. Strong working knowledge of standard contract terms and common negotiation points, including liability caps, indemnification, destruction/return obligations, and residuals clauses. Experience evaluating IP ownership and confidentiality provisions in technology or R&D agreements is a plus. Ability to work independently from templates and precedents with minimal supervision. Strong attention to detail and organizational skills in managing multiple concurrent agreements. Proficiency with contract management tools; familiarity with Jira and DocuSign.
