Our client, a North American based company, is entering a pivotal phase of growth driven by strategic investment, international expansion, and transformative corporate initiatives. To help guide this evolution, the organization is seeking an accomplished legal executive to serve as Chief Legal Officer & Executive Vice President Global Government Relations overseeing legal, governance, compliance, and government affairs. Reporting directly to the President & CEO and advising the Board of Directors, the successful candidate will play a central role in supporting complex transactions, public company governance, regulatory compliance, stakeholder engagement, and enterprise-wide growth across multiple jurisdictions.

Key Mandate :

The CLO/EVP will serve as principal legal advisor to the CEO and Board while leading global legal, governance, compliance, and government relations activities. The mandate combines strategic counsel, transaction execution, public-company governance, regulatory oversight, government engagement, and organizational leadership, with particular emphasis on international growth and post-transaction integration.

Key Priorities :

1. Provide Strategic Legal and Enterprise Leadership

• Serve as principal legal advisor to the CEO, Board of Directors, and executive leadership team.
• Provide practical, business-oriented counsel on enterprise strategy, growth, risk, governance, disclosure, securities compliance, executive matters, and stakeholder engagement.
• Lead global legal matters spanning corporate, finance, M&A, commercial transactions, litigation, employment, compliance, environmental, permitting, intellectual property, trade, sanctions, and international operations.

2. Lead M&A, Integration and Strategic Transactions

• Lead legal strategy and governance for acquisitions, joint ventures, strategic investments, divestitures, and other transformational transactions.
• Provide executive oversight of integration workstreams, including corporate structure, governance, compliance, employment, IP, commercial contracts, regulatory approvals, and cross-border risk.
• Advise on transaction structuring, due diligence, risk allocation, financing, disclosure, stakeholder communications, and post-closing planning.

3. Strengthen Public-Company Governance and Capital Markets Support

• Oversee U.S. and Canadian securities law compliance, stock exchange requirements, disclosure controls, insider trading compliance, and Board governance practices.
• Advise the Board and its committees on fiduciary duties, governance trends, executive compensation, shareholder engagement, and material corporate actions.
• Support financing activities, strategic partnerships, government funding opportunities, credit facilities, equity and debt offerings and investor-facing legal matters.

4. Advance Global Government Relations and Policy

• Lead government relations strategy across federal, state, provincial and international jurisdictions.
• Advise on strategic materials, energy, trade, industrial policy, supply chain resilience, permitting, and international investment.
• Build trusted relationships with policymakers, regulators, government agencies, industry coalitions, and strategic partners in relevant markets.

5. Oversee Regulatory, Environmental, Permitting and Trade Compliance

• Provide strategic oversight of regulatory, licensing, environmental, health and safety, and permitting compliance across resource, processing, manufacturing, and international operations.
• Develop scalable frameworks covering product regulation, customs, export controls, sanctions, anti-corruption, data, and supply chain compliance.
• Monitor geopolitical, trade, national security and industrial policy developments affecting the organization and its supply chains.

6. Enable Commercial, Manufacturing, and IP Strategy

• Build legal support for complex customers, supplier, technology, manufacturing, distribution, automotive, aerospace, and industrial agreements.
• Oversee intellectual property strategy, protection, licensing, and enforcement related to processing, manufacturing, and technology capabilities.
• Support product compliance, quality, warranty, procurement, and supply chain risk management for a global advanced manufacturing business.

7. Manage Litigation, Investigations and Enterprise Risk

• Oversee litigation, arbitration, investigations, claims, regulatory enforcement, and dispute resolution matters globally.
• Set litigation strategy, manage external counsel, control legal spend and advise leadership and the Board on material risk exposure.
• Build scalable ethics, reporting, investigations, insurance, and enterprise risk programs aligned with public-company obligations and growth.

8. Build a High-Performing Global Function

• Lead, develop and scale the global legal, compliance, governance, and government relations organization.
• Establish clear roles, operating rhythms, decision rights, escalation paths, and standards of excellence.
• Manage outside counsel, government relations advisors and consultants for quality, accountability, efficiency, and strategic value.

The Ideal Candidate :

The successful candidate will be a board-ready public-company legal executive who brings strong commercial judgment, substantial transaction experience, and the ability to operate across legal, regulatory, policy and international business environments. They will combine strategic perspective with practical execution and will be energized by the organization's role.

Required Qualifications

• Juris Doctor from an accredited law school and active membership in good standing with at least one U.S. state bar.
• Significant senior legal leadership experience in a public company, ideally as General Counsel, Chief Legal Officer, Deputy General Counsel, or an equivalent senior executive.
• Demonstrated expertise in public-company governance, securities compliance, Board support, disclosure matters and corporate transactions.
• Substantial M&A experience, including cross-border transactions, integration, due diligence, financing, risk allocation, and post-closing governance.
• Experience managing complex regulatory, environmental, permitting, trade, government relations, or international policy matters.
• Proven ability to lead global teams, manage sophisticated outside counsel and build scalable legal and compliance infrastructure.

Preferred Experience

• Experience in advanced manufacturing, industrial technology, defense, aerospace, natural resources, critical materials,, automotive, energy or global supply chain businesses.
• Familiarity with U.S., Canadian, European, and other international regulatory environments.
• Experience supporting government funding, strategic industrial policy, supply chain programs, or government contracting.
• Background involving engineered products, customer-qualified manufacturing, IP portfolios, export controls, trade compliance, or multinational operations.
• Experience building or transforming a legal function during significant growth or strategic repositioning.
