Senior Corporate Paralegal

The firm is seeking a senior corporate paralegal to provide comprehensive support on complex corporate transactions across multiple practice areas, including M&A, private equity, finance, capital markets, and emerging companies. This role involves managing all stages of transactions, including preparing and maintaining due diligence materials, coordinating corporate and lien searches, and drafting and organizing key corporate documents such as stock certificates, capitalization tables, organizational documents, and disclosure schedules. The paralegal will support transaction closings by preparing signature packets, assembling closing binders, coordinating notarizations, and tracking post-closing requirements and deadlines.

Additional responsibilities include preparing and filing UCC statements, SEC filings (including Form D and Form ID), and IRS EIN applications, as well as managing corporate registrations, amendments, and dissolutions. The role also leverages AI tools to streamline due diligence processes and requires coordination with attorneys and cross-office teams.

Qualified candidates must have a bachelor's degree and at least 10 years of relevant experience in an AmLaw 100 law firm. Strong organizational, analytical, and communication skills are essential, along with the ability to manage multiple priorities in a fast-paced environment. Proficiency in Microsoft Office and Adobe is required, with experience in Carta and paralegal certification preferred.

This role is open to offices in New York, DC, Houston, Dallas, Denver, Century City, San Francisco, Palo Alto, or Orange County. The salary range for this position is $150,000 to $200,000, along with a comprehensive benefits package.
