Role Summary Director, Corporate Attorney – strategic legal advisor supporting public company reporting, corporate governance, SEC filings, board matters, and more. This hybrid role is based in the Parsippany, NJ office. Responsibilities Provide legal support for Board of Directors and committee meetings; oversee governance documents and corporate records. Manage the legal aspects of the annual stockholder meeting and proxy development. Advise on governance best practices and support board and committee preparation. Assist with disclosure planning and drafting: quarterly earnings releases, investor presentations, and the annual proxy statement. Advise on securities law compliance, Nasdaq listing standards, and insider trading matters. Provide legal support for corporate transactions, including financing and equity offerings. Support cross‑functional teams on general corporate matters and collaborate with external counsel and internal teams such as Finance, Investor Relations, and HR. Support business development and strategic transactions such as M&A, joint ventures, and research collaborations. Partner with Finance and Corporate Development teams on securities, fundraising, and disclosure issues. Manage a paralegal team for the optimization and compliance of the company’s 40+ global subsidiaries. Act as a trusted advisor to senior management on strategic initiatives and legal risk. Participate in cross‑functional governance committees. Embed compliance considerations into operational workflows with Quality, Regulatory, and Product teams. Demonstrate legal innovation and cross‑functional leadership, driving enterprise‑wide solutions. Apply an enterprise mindset and critical thinking to complex issues, championing continuous improvement in processes, technology, and agility. Foster strong collaboration within the legal function and with business units across the organization. Support adherence to internal policies and monitor legislative developments impacting the business. Basic Requirements Juris Doctor (JD) from an accredited law school. 7+ years of corporate and functional law experience, including work in law firms and life‑science companies. Active membership in at least one U.S. state bar. Deep knowledge of SEC rules, Sarbanes‑Oxley, listing exchange requirements, and related regulations. Prior experience managing global corporate subsidiaries and entities. Proactive in identifying risks, opportunities, and process improvements. Preferred Requirements Ability to interpret legal requirements and deliver pragmatic, business‑oriented guidance. Excellent written, oral, and cross‑functional communication skills. Salary & Benefits Base salary: $162,400 – $227,400 (subject to variation based on experience and location). Base pay is part of the Total Rewards package, which also includes eligibility for an annual bonus and a long‑term incentive award.
