Corporate Finance Attorney 

I'm working with a highly regarded Seattle-area law firm that is seeking a Corporate & Securities Attorney to join its thriving startup and emerging companies practice. This is an exceptional opportunity for an attorney who wants to work directly with founders, investors, and high-growth companies on the transactions and legal challenges that shape innovative businesses from formation through exit.

The Opportunity

You'll serve as trusted counsel to startups, venture-backed companies, investors, and emerging growth businesses across a wide range of corporate, financing, securities, and operational matters.

Key Responsibilities

Startup & Corporate Counseling

• Advise founders on entity formation, corporate structuring, and governance best practices.
• Draft and negotiate founder agreements, stock purchase agreements, shareholder agreements, operating agreements, and related corporate documents.
• Guide companies through critical growth milestones and strategic business decisions.

Venture Capital & Private Financings

• Represent startups and investors in seed, Series A, and later-stage financing transactions.
• Structure and negotiate SAFEs, convertible notes, preferred equity financings, and other investment vehicles.
• Prepare and negotiate term sheets, investor rights agreements, voting agreements, and closing documents.
• Manage Form D filings and Blue Sky compliance requirements.

Securities Law Compliance

• Advise clients on federal and state securities law matters.
• Counsel companies regarding available registration exemptions and compliance obligations.
• Support Regulation CF, Regulation A+, and Rule 506 offerings.

Mergers & Acquisitions

• Support acquisitions, strategic transactions, secondary sales, and corporate restructurings.
• Conduct due diligence and negotiate transaction documents.
• Assist clients through successful exits and liquidity events.

Outside General Counsel Services

• Provide practical, business-focused legal advice on commercial contracts, technology transactions, intellectual property matters, cap table management, and equity compensation programs.
• Advise on 409A compliance and equity incentive plans.

What We're Looking For

• J.D. from an accredited law school.
• Active Washington State Bar membership.
• Experience representing startups, venture-backed companies, and emerging growth businesses.
• Strong understanding of corporate and securities laws, including the Securities Act of 1933, Securities Exchange Act of 1934, and Rule 701.
• Familiarity with:
  • NVCA financing documents
  • Y Combinator SAFE templates
  • Carta platform
• Exceptional drafting, negotiation, and client counseling skills.
• Ability to manage multiple clients and transactions in a fast-paced environment.
• Entrepreneurial mindset and desire to build strong, lasting client relationships.

Compensation

• Base salary: $160,000 - $200,000 , depending on experience
• Performance and discretionary bonus opportunities
• Strong long-term growth potential within an established and collaborative practice
