Corporate Finance Associate

Job Overview A law firm seeks a Corporate Finance Associate for its Houston, TX office. The position is full-time and ideal for a 2nd to 4th-year associate with relevant experience in corporate finance transactions. Duties Represent administrative agents, lenders, and borrowers in credit facilities and acquisition financings. Negotiate and draft credit agreements, debt commitment letters, and term sheets. Prepare security agreements, intercreditor agreements, and subordination agreements. Manage closing deliverables, including certificates, resolutions, and legal opinions. Engage in deal management and client interaction. Requirements Experience with club and broadly syndicated credit facilities. Experience representing private equity sponsors and portfolio companies is beneficial. Admission to one or more state bars; Texas bar admission preferred. Education Strong academic background. Certifications Admission to state bar(s). Skills Superior drafting skills. Diligent, proactive, and team-oriented. Willingness to take on significant responsibility.
