Project Finance Counsel

Project Finance Associate Base pay range: $150,000.00/yr - $180,000.00/yr We are seeking a Project Finance Associate to join a team at a leading utilities company. This role is ideal for a legal professional with 5–7 years of experience in project finance, gained at a law firm and/or in‑house. The successful candidate will play a key role in structuring, negotiating, and executing complex transactions that support the development and financing of energy and infrastructure projects. *Will offer relocation for the right candidate Key Responsibilities Support the structuring and negotiation of project finance transactions, including debt and equity arrangements. Draft, review, and negotiate financing documents, security agreements, and related contracts. Collaborate with internal teams and external stakeholders to ensure compliance with regulatory and contractual requirements. Conduct due diligence on projects and financing structures to identify and mitigate risks. Assist in managing relationships with lenders, investors, and other counterparties. Provide legal and commercial support throughout the lifecycle of projects, from development through operation. Qualifications Juris Doctor (JD) degree and active membership in good standing with at least one U.S. State Bar. 5–7 years of experience in project finance, preferably with exposure to energy or infrastructure sectors. Prior experience at a law firm and/or in‑house legal department required. Strong understanding of financing structures, security arrangements, and risk allocation in project development. Excellent negotiation, drafting, and analytical skills. Ability to manage multiple priorities and work collaboratively across teams. Preferred Skills Familiarity with regulatory frameworks impacting utilities and energy projects. Experience working with lenders, investors, and project developers.
