Resource Attorney - Private Companies

Position Responsibilities AI & Practice Group Innovation: Supporting AI-enabled initiatives, including collaborating on the development, testing, and refinement of AI-driven tools and workflows that enhance legal service delivery. Document Drafting: Preparing drafts (or revising existing precedent) of template documents. Process Management: Coordinating with lawyers across practice groups, and other Cooley personnel, to ensure review, updating, and other contributions for practice resources and external publications. Legal Updates: Monitoring legal and regulatory developments relative to Private Companies practice; preparing summaries and alerts regarding same; ensuring new legal requirements are reflected in our practice resources. Assisting with Individual Attorney Requests: Helping field day-to-day requests from attorneys for precedents, templates, and other resources. New Initiatives: Candidate would be involved in resource, knowledge management and practice innovation projects TBD. Other duties: All other duties as assigned or required. Skills and Experience The Private Companies resource attorney must be a licensed attorney with at least 4-6 years of experience in a US corporate/transactional practice. Basic handle on startup/venture practice and the main types of transactions and issues in day-to-day startup counseling. Strong drafting skills are required. Success Factors Organizational Skills: Handle multiple, ongoing projects, including coordinating with attorneys and other stakeholders on projects requiring many inputs. Associate experience running closings and coordinating diligence/disclosures on transactions should be a transferable skill. Attention to Detail: Detailed drafting and analysis needed for template documents. Creativity and Entrepreneurialism: Identify needs and opportunities for the practice group, take a leading role in formulating and developing new resources. Self-Starter: Take initiative in advancing resource projects. Flexibility: Willing and available to work on additional projects and support new initiatives. Team Player: Work collaboratively and build relationships with practicing attorneys and other professionals, including other resource attorneys, within the firm, and be energized by a fast-moving and dynamic environment. Compensation & Benefits The expected annual pay range for this position is $220,000 - $315,000. Final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
