Direct Counsel is representing an AmLaw 100 firm seeking a mid-level Associate to join its Venture Capital & Emerging Growth Companies practice . This position is available in Dallas, Boston, or New York and offers the opportunity to work with innovative companies and investors across high-growth industries.

Direct Counsel is representing an AmLaw 100 firm seeking a mid-level Associate to join its Venture Capital & Emerging Growth Companies practice . This position is available in Dallas, Boston, or New York and offers the opportunity to work with innovative companies and investors across high-growth industries.
Key Responsibilities
- Advise emerging growth companies, venture funds, and investors on venture and growth financings
- Draft and negotiate NVCA-based and customized financing documents
- Counsel clients on corporate governance, capitalization, and strategic transactions
- Support venture financings, M&A transactions, joint ventures, private equity investments, and capital markets matters
- Collaborate with M&A, IP, tax, and regulatory teams on complex venture-backed transactions
- J.D. from an accredited law school with strong academic credentials
- 3+ years of corporate transactional experience , including venture financings or emerging company representation
- Experience advising venture-backed companies, founders, and investors
- Strong drafting, analytical, and communication skills
- Ability to manage multiple transactions in a fast-paced environment
- Active bar admission in the jurisdiction where the candidate will practice
