About the Role

We're looking for a Senior Corporate Paralegal to join Ramp's Legal team and own the operational backbone of how we govern and structure the company. Ramp runs a growing portfolio of U.S. and non-U.S. entities — including regulated and licensed subsidiaries — across a business that ships constantly and raises, acquires, and expands on short notice. You will be the person who keeps that machinery accurate, current, and audit-ready.

This is a broad generalist role. You'll sit at the center of corporate governance, entity management, equity administration, and litigation/employment and you'll partner directly with Finance, Accounting, Tax, Treasury, Compliance, Equity Admin, and People, and outside counsel. We are a small, high-leverage team supporting a company that moves quickly, so you'll cover a lot of ground and be trusted to run matters independently.

What You'll Do

• Corporate governance: Prepare board and stockholder meeting materials, agendas, minutes, written consents, resolutions, secretary's certificates, and incumbency certificates. Track and calendar governance obligations across the entity portfolio.

• Entity management: Own the full lifecycle of entity administration — formations and dissolutions, foreign qualifications, annual reports, franchise tax filings, registered agent management, signatories, officer and director lists, post-integration cleanup.

• KYC, UBO, and diligence: Respond to KYC/UBO and diligence requests from bank partners, regulators, auditors, insurers, and counterparties, and build reusable packages.

• Equity support: Support equity administration, option and RSU grants, board approvals of equity awards, secondaries, and equity plan recordkeeping in partnership with Finance and People.

• Transaction support: Run diligence support, signature collection, closing checklists, closing binders, and post-closing obligations for financings, credit facilities, M&A, real estate, and insurance renewals.

• Commercial and cross-functional support: Assist with powers of attorney, delegations of authority, and corporate approvals needed by the business.

• Employment support: Support employment- and immigration-related requests and filings.

• Litigation support: Support subpoena and law enforcement requests, legal holds, e-discovery, and document production. Review and respond to garnishment orders and UCC liens. Serve as Ramp’s custodian of records and as Ramp’s representative in small claims court cases.

What You Need

• 6+ years of corporate paralegal experience at a major law firm and/or in-house at a high-growth technology or financial services company.

• Deep working knowledge of corporate governance, entity formation and maintenance, corporate recordkeeping, and secretary's office functions.

• Excellent drafting skills across resolutions, consents, certificates, and corporate documentation, with genuine precision — you catch the wrong entity name, the stale date, and the missing signature block.

• Demonstrated ability to independently run multiple time-sensitive workstreams without dropping threads or waiting to be asked.

• Strong written and verbal communication skills and the judgment to work directly with executives, board members, outside counsel, and cross-functional partners.

• Comfort operating in a fast-paced environment where priorities shift and processes are still being built — and a bias toward action.

• High judgment around confidential and sensitive corporate information.

• Bachelor's degree or equivalent practical experience.

Nice to Have

• Experience at a fintech, payments, or regulated financial services company, including support for licensed entities (money transmitter, EMI, or similar).

• Experience supporting venture financings, secondaries, M&A integration, or IPO readiness.

• International entity management experience across EMEA, APAC, LATAM, or Canada.

• Experience with equity administration and cap table platforms (e.g., Shareworks).

• Experiencing with litigation or employment matters.

• Notary Public commission (NY or CA), or willingness to obtain one.

• ABA-approved paralegal certificate.

• A track record of using AI or automation to eliminate manual legal work.
