Corporate Paralegal
A leading law firm is seeking a Corporate Paralegal for its New York team. This role provides legal support with general corporate maintenance and complex transactions for both private and public company clients.
The paralegal will assist with the formation, maintenance, and dissolution of corporate entities, coordinate closings, and prepare legal opinions and related documents. Additional responsibilities include drafting and filing corporate and securities filings, organizing corporate records, conducting due diligence reviews, preparing stock certificates and maintaining capitalization tables, researching Blue Sky issues, and training case assistants and junior paralegals.
Candidates should have a bachelor's degree and 3+ years of transactional experience in private equity, capital markets, and M&A matters, with strong organizational and communication skills and proficiency in Microsoft Office (advanced Excel preferred). Familiarity with Carta, Shareworks, or similar equity tracking systems and prior law firm experience are a plus. The expected hourly pay range is $41.00–$54.00 ($85,280.00–$112,320.00 annually), depending on location and experience.
