Corporate Paralegal

- Assist with drafting, reviewing, and filing legal documents related to corporate transactions.
- Conduct legal research and summarize findings for attorneys.
- Oversee IPO transaction tasks, including draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits
- Prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements
- Support corporate governance activities, including maintaining corporate records and preparing board materials.
- Coordinate and manage document submissions to regulatory bodies as needed.
- Collaborate with legal and business teams to ensure compliance with legal and regulatory requirements.
- Maintain and organize files, ensuring accurate and accessible record-keeping.
- Assist with due diligence for corporate transactions and other legal projects.
- Provide general administrative support to the legal department.
The Successful Applicant A successful Corporate Paralegal should have:
- Bachelor's degree.
- 2+ years of experience in corporate law, ideally in a Big Law environment
- Strong knowledge of legal terminology and corporate governance practices.
- Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.
- Experience in IPO and public company matters strongly preferred
- Excellent organizational and time management skills.
- Attention to detail and ability to manage multiple tasks simultaneously.
- Strong communication and interpersonal skills to collaborate with various teams.
- Competitive salary range based on experience ($60-100K for 2-5 years of experience, $100-150K for 5+ years of experience)
