Corporate Transactions Associate Attorney

Key Responsibilities Support and lead mergers and acquisitions transactions, including due diligence, drafting, negotiation, and closing activities. Draft and negotiate purchase agreements, operating agreements, shareholder agreements, buy‑sell agreements, and commercial contracts. Advise business owners and companies on entity formation, corporate structure, governance matters, and ongoing legal needs. Provide strategic guidance on a wide range of corporate transactions and business initiatives. Collaborate with attorneys across multiple practice areas to support complex transactions and achieve business objectives. Qualifications / Nice to Have Must Have Juris Doctor (J.D.) from an accredited law school. Active Illinois Bar membership or eligibility for admission. 4+ years of corporate transactional experience within a law firm. Experience handling mergers and acquisitions transactions. Experience drafting and negotiating transaction documents, purchase agreements, operating agreements, shareholder agreements, and commercial contracts. Nice to Have Private equity transaction experience. Venture capital transaction experience. Experience advising on corporate governance matters. Familiarity with securities law and related business matters. Experience developing and maintaining business relationships.
