Corporate Paralegal - In House

Our client is a highly successful venture capital firm in Menlo Park. They are seeking a Corporate Paralegal to support a wide range of legal, business matters and real estate matters. This role offers broad exposure across investment activities and family office operations. The work is varied, fast-paced, and intellectually engaging, touching areas such as venture capital and private equity investments, wealth and fund management, real estate acquisitions, tax and estate planning, corporate governance, and other strategic initiatives.

Responsibilities :

• Draft and maintain corporate formation and governance documents including operating agreements, bylaws, resolutions, NDAs, consulting agreements, and related materials for corporations, LLCs, and other entities.
• Support venture capital, private equity, and M&A transactions, including due diligence, deal documentation, and closing coordination.
• Coordinate and manage state and regulatory filings while assisting with ongoing corporate governance and compliance requirements.
• Maintain corporate records including minute books, entity documentation, and capitalization tables.
• Manage and update the company’s corporate organizational structure and related documentation.
• Maintain and adapt standard agreements and templates across the organization, including NDAs and independent contractor agreements.
• Assist with corporate restructurings, entity conversions, dissolutions, and the development of internal compliance policies and procedures.

Qualifications:

• Undergraduate degree preferred.
• Strong corporate transactional background with significant exposure to M&A activity.
• Experience supporting venture capital, private equity, or other investment transactions.
• Solid experience with corporate governance, entity management, cap tables, and maintaining minute books.

Salary: Up to $180K. Excellent benefits.
