Direct Counsel is seeking a Mid-Level Corporate Associate with 3–5 years of substantial M&A experience to join a sophisticated corporate practice. This opportunity is ideal for an attorney with experience at a leading corporate law firm who is interested in handling complex transactions for innovative companies, including clients in the technology and life sciences sectors .Locations

Responsibilities

• Represent clients in sophisticated mergers and acquisitions and other strategic corporate transactions.
• Assist with transactions throughout the full deal lifecycle, from initial structuring and due diligence through negotiation, signing, and closing.
• Draft, review, and negotiate acquisition agreements and related transaction documents .
• Conduct and coordinate legal due diligence.
• Identify and analyze corporate, contractual, and transactional issues affecting M&A transactions.
• Coordinate transaction processes and work closely with specialists across multiple practice areas.
• Advise clients on transaction structure, execution, and related corporate matters.
• Work directly with clients and take increasing responsibility for managing significant components of transactions.

Qualifications

• 3–5 years of M&A experience , preferably with a leading corporate law firm.
• Substantial experience handling sophisticated mergers and acquisitions.
• Superior academic credentials.
• Excellent drafting, analytical, oral, written, and interpersonal skills.
• Strong transaction-management and organizational abilities.
• Ability to work effectively in a fast-paced, collaborative corporate practice.
• Must be admitted in the jurisdiction of the applicable office or eligible to sit for or waive into the next available bar examination .

Preferred Experience

• Experience representing technology and/or life sciences companies .
• Demonstrated interest or affinity for the technology and life sciences sectors.

Compensation & Benefits

• Base Salary: $260,000–$310,000 , depending on experience, qualifications, credentials, and location.
