Representative Role OverviewA leading middle-market investment bank or advisory firm may seek a Sell-Side M&A Analyst to support clients in divestitures, company sales, and strategic advisory transactions . These roles are ideal for candidates seeking hands-on experience in sell-side deal execution , valuation, and client advisory work.
Key ResponsibilitiesSupport sell-side M&A engagements , including valuation, financial analysis, and transaction preparation
Build and maintain financial models for potential divestitures or company sales (3-statement, DCF, LBO, accretion/dilution analyses)
Conduct industry research, competitive benchmarking, and company due diligence to inform positioning and valuation
Prepare pitch books, CIMs (Confidential Information Memoranda), and client presentations
Assist with data room management, due diligence coordination, and transaction execution
Collaborate with senior bankers and cross-functional teams to execute sell-side deals efficiently and strategically
Bachelor’s degree in Finance, Economics, Accounting, Mathematics , or a related discipline
Strong skills in financial modeling, valuation, and transaction analysis
Excellent analytical, quantitative, and communication abilities
Ability to manage multiple workstreams in a fast-paced, deadline-driven environment
High attention to detail and strong organizational skills
Prior internship or full-time experience in investment banking, corporate finance, consulting, private equity, audit, or FP&A is beneficial
Proficiency in Excel, PowerPoint , and common financial research tools
