About the Role

The Chief Financial Officer (CFO) will serve as a key member of the founding leadership team and play a pivotal role in establishing the financial architecture of the organization. This executive will lead all financial planning, banking relationships, treasury management, regulatory reporting, risk management, financing activities, and financial controls while supporting business growth, project development, and capital raising activities. The CFO will partner closely with the CEO, Board of Directors, lenders, investors, and strategic partners to support the development of mining, energy, and infrastructure projects, primarily in Venezuela and other international markets. This role requires a hands-on finance leader with a strong track record in capital-intensive industries such as mining, oil & gas, energy, natural resources, infrastructure, or commodity trading. The ideal candidate brings proven experience in project finance, international operations, and emerging market environments.

Responsibilities

• Partner with the CEO and Board of Directors to develop and execute corporate strategy.
• Serve as a member of the founding executive team and contribute to major business and investment decisions.
• Support expansion initiatives, capital allocation decisions, acquisitions, joint ventures, and strategic partnerships.
• Work with the Board of Directors to address financial issues and implement strategies for long-term value creation.
• Build and lead the finance function from the ground up.
• Establish financial policies, procedures, internal controls, and governance frameworks.
• Lead the development and implementation of financial strategies encompassing accounting, budgeting, reporting, treasury, taxation, and financial planning.
• Ensure timely, accurate, and compliant financial statements and regulatory filings.
• Manage the annual budget and strategic planning process.
• Drive continuous improvement of financial systems, controls, and processes.
• Lead relationships with commercial banks, investment banks, export credit agencies, multilateral institutions (IFC, IDB, CAF, EXIM), and other financial partners.
• Structure and negotiate working capital facilities, project finance, trade finance, and investment financing solutions.
• Identify and secure financing opportunities for mining, energy, infrastructure, commodity trading, and investment activities.
• Manage liquidity, cash flow, treasury operations, and capital planning.
• Evaluate and optimize capital structures for existing and future investments.
• Provide financial leadership for greenfield projects, project development activities, and major capital investment programs.
• Evaluate investment opportunities, project economics, financial models, and funding alternatives.
• Support project execution through disciplined financial oversight and performance monitoring.
• Participate in negotiations involving project financing, strategic investors, joint ventures, and government-related entities.
• Support acquisitions of mining, oil & gas, energy, or infrastructure assets as required.
• Lead enterprise-wide financial risk management activities.
• Monitor and manage country risk, political risk, currency risk, commodity price exposure, and project-related financial risks.
• Ensure compliance with all applicable U.S. Treasury requirements and regulations.
• Oversee sanctions compliance, OFAC requirements, AML/KYC obligations, FCPA, anti-corruption standards, and regulatory reporting.
• Ensure adherence to internal governance standards and applicable international legal requirements.
• Recruit, build, and develop high-performing teams across finance, accounting, treasury, and compliance.
• Establish a performance-oriented culture focused on accountability, operational excellence, and continuous improvement.
• Develop organizational capabilities to support future growth and international expansion.

Qualifications

• Bachelor's degree in Finance, Accounting, Economics, Business Administration, or a related field.
• MBA, CPA, CFA, or other relevant advanced qualification preferred.
• Minimum 15 years of progressive financial leadership experience.
• At least 5 years in a CFO, Deputy CFO, Finance Director, or equivalent senior executive position.
• Demonstrated experience in mining, oil & gas, energy, natural resources, infrastructure, commodity trading, or other capital-intensive industries.
• Proficiency in both English and Spanish
• Proven experience structuring and negotiating project finance, trade finance, and corporate financing transactions.
• Experience working with international banks, financial institutions, multilaterals, and investors.
• Strong experience in financial planning, treasury management, accounting, budgeting, financial reporting, and risk management.
• Experience operating in international and cross-border business environments.
• Experience establishing or leading finance functions in start-up, greenfield, or newly established organizations.
• Strong knowledge of financial instruments, corporate finance, investment analysis, and capital allocation.
• Advanced financial modeling and analytical capabilities.
• Excellent leadership, stakeholder management, communication, and negotiation skills.

Preferred Qualifications

• Experience in Latin America and/or Venezuela.
• Professional proficiency in Spanish.
• Experience with project development in emerging or high-risk markets.
• Experience with joint ventures, government-related partnerships, or concession-based businesses.
• Familiarity with OFAC regulations, U.S. Treasury reporting requirements, sanctions compliance, AML/KYC frameworks, FCPA, and international anti-corruption standards.
• Experience supporting acquisitions, asset purchases, or corporate transactions within mining, energy, or infrastructure sectors.
• Experience with reserve-based lending, commodity-backed financing, or asset-backed structures.
• Knowledge of commodity price risk management and hedging strategies.
