This is an excellent opportunity to work closely with experienced dealmakers on a wide range of mergers and acquisitions while maintaining meaningful autonomy within a highly collaborative team environment.About the RoleIn this position, you will counsel privately held companies, entrepreneurs, and investment groups on a broad range of business transactions across multiple industries. The team works on deals spanning a wide spectrum in size and complexity, providing experience with both middle-market matters and more intricate, high-value transactions involving multiple stakeholders.You’ll play an active role at every stage of the transaction process—from early planning and due diligence through drafting, negotiation, and closing—while delivering practical, commercially focused guidance to clients.Key ResponsibilitiesStructure and execute a wide range of transactions, including mergers, acquisitions, recapitalizations, and corporate reorganizationsLead and support due diligence efforts, identifying legal and business risksDraft and negotiate transaction documents, including letters of intent, purchase agreements, and ancillary agreementsAdvise clients on financing arrangements, coordinating with lenders and investorsNavigate regulatory and compliance considerations, including antitrust-related matters and required filingsCounsel clients on strategic transactions such as joint ventures, partnerships, and cross-border deals
