Job Summary

The  Contracts Manager is responsible for preparing, negotiating, reviewing, and maintaining business contracts across customer agreements, project subcontracts, vendor MSAs, and charter agreements. This role ensures contractual compliance, mitigates risk, supports project teams, and manages contract lifecycle activities including updates, renewals, and extensions.

Key Responsibilities

• Prepare, negotiate, and manage customer contracts, project subcontracts, vendor MSAs, and charter agreements (manned and bareboat).
• Manage the contracting process from initial factchecking through final execution or termination.
• Review, red-line, and negotiate contract terms within company guidelines to mitigate risk in construction and dredging projects.
• Prepare routine contract documents for subcontractors and third-party entities in alignment with corporate policy.
• Assist in resolving contract related disputes or issues.
• Meet regularly with project teams to support active contract management and strategy, including proactive change order planning.
• Work with Risk Management to align insurance requirements and risk profiles across customers, vendors, suppliers, and subcontractors.
• Maintain communication with all relevant parties, providing updates on contract status and addressing concerns.
• Review and analyze complex solicitations, requirements, special provisions, and terms to ensure compliance with laws, regulations, and company policies.
• Guide negotiation strategy and participate in team negotiations for complex contractual issues.
• Assess new laws, regulations, and contract trends for potential impact on company goals.
• Provide guidance to internal departments regarding contract activity and company objectives.
• Identify, develop, and implement new contract policies and processes.
• Execute routine correspondence and ensure timely, coordinated contract submittals.
• Organize and maintain contract records and files documenting performance and compliance.
• Demonstrate ability to work independently and manage multiple priorities.
• Perform additional tasks as assigned.

Qualifications

• Bachelor’s degree in business, law, finance, or related field
• 3+ years of experience in the construction industry
• 3+ years of experience in dredging and/or maritime industry
• 5+ years of experience in contract negotiation (preferred)
• Strong understanding of financial and analytical issues, including profit and loss implications
